2. Acceptance of these Terms

By accessing, browsing, or placing an order through utc-industrial.co.za (the “Website”), you agree to be bound by this Legal Notice, our Shipping Policy, our Privacy Policy, and any other terms referenced on the Website. If you do not agree to these terms, please do not use the Website or place an order.

3. Products, Pricing & Availability

All prices displayed on the Website are quoted in South African Rand (ZAR) and, unless stated otherwise, are inclusive of Value-Added Tax (VAT) at the applicable statutory rate.

Prices exclude delivery charges, which are calculated separately at checkout and disclosed to you before you confirm your order.

Product descriptions, specifications, and images are provided for guidance and are believed accurate at the time of publication; minor variations between a product as described and as supplied (e.g. due to manufacturer revisions) do not constitute a breach of these terms, provided the core specification and function are unaffected.

We reserve the right to correct pricing or listing errors, and to limit or decline any order, before dispatch, without liability, other than the refund of any amount already paid for that order.

Stock availability is not guaranteed until an order is confirmed; where an item is unavailable or on backorder, you will be notified with revised lead times.

4. Orders, Payment & Formation of Contract

An order placed through the Website is an offer to purchase, which is only accepted once we confirm the order and receive cleared payment (or, for approved account customers, on our written confirmation of the order).

Accepted payment methods will be indicated at checkout (e.g. EFT, card payment, or approved credit account) and are subject to standard banking and payment-gateway security procedures.

Risk in goods passes to the customer on delivery or collection; ownership passes only once payment has been received in full.

5. Delivery

Delivery timeframes, courier arrangements, and costs are set out in our Shipping Policy, which forms part of these terms. Delivery estimates are not guaranteed and may be affected by courier capacity, location, or circumstances beyond our reasonable control.

6. Right to Cancel (Cooling-Off Period)

Where the Consumer Protection Act or the Electronic Communications and Transactions Act grants a right of cancellation for transactions concluded through this Website, a consumer may, subject to the exclusions below, cancel a qualifying transaction within 7 (seven) days of receiving the goods, without penalty, other than the reasonable direct cost of returning the goods.

This right does not apply to goods manufactured, configured, or sourced to the customer's specification (e.g. custom voltage/phase builds or special orders), goods that have been installed, wired into, or used in a live installation, or transactions falling outside the scope of the CPA (see clause 7).

Goods returned under this clause must be unused, in original packaging, and accompanied by proof of purchase.

7. Consumer Protection Act — Applicability

Many of our customers are businesses purchasing equipment for commercial or industrial use. The Consumer Protection Act applies to transactions with juristic persons (companies, close corporations, etc.) only where that juristic person's asset value or annual turnover is below the threshold prescribed from time to time by the Minister of Trade and Industry. Where a transaction falls outside the scope of the CPA, the general common law of sale and these terms will govern the transaction instead.

Where the CPA does apply, nothing in this notice limits any right, warranty, or remedy a consumer is entitled to under that Act, including the implied warranty of quality under section 56.

8. Returns, Faulty Goods & Warranty

If goods arrive damaged, defective, or not matching your order, please refer to our Shipping Policy and contact us within the timeframe stated there so we can arrange an inspection, repair, replacement, or refund as appropriate.

Manufacturer warranties applicable to specific product lines (e.g. Slanvert drives, servo motors, PLCs, HMIs, and networking hardware) apply in addition to, and do not replace, any statutory rights you may have.

Goods are not returnable simply because a customer has ordered the wrong specification, unless this was due to our error — please check technical specifications (voltage, phase, encoder type, mounting) carefully, or contact us before ordering if unsure.

9. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential loss (including loss of production, loss of profit, or downtime) arising from the use, installation, or performance of products purchased through the Website. Nothing in this clause limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or liability that cannot be excluded under the Consumer Protection Act where it applies.

Industrial equipment sold through this Website (including drives, PLCs, servo systems, actuators, power supplies, compressors, and networking equipment) should be installed and commissioned by a suitably qualified person in accordance with the applicable manufacturer documentation and South African electrical and occupational health and safety regulations.

10. Intellectual Property

All content on the Website — including text, product descriptions, graphics, logos, and the UTC Industrial brand — is owned by or licensed to Agora Automation (Pty) Ltd and is protected under South African copyright and trade mark law. You may not reproduce, distribute, or use this content for commercial purposes without our prior written consent. Third-party brand names and logos (e.g. Slanvert, TCrystal, Wanptek, Verdes, Think Touch, BDCOM, Cudy, Teltonika, TP-Link) remain the property of their respective owners.

11. Privacy & Protection of Personal Information

We process personal information collected through the Website (such as names, contact details, and delivery addresses) in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA).
